Terms of Service

1. Eligibility

You must be at least 16 years old, or the minimum age of digital consent in your country if higher, to use the Service.

If you are under the age of majority where you live, you must review these Terms with a parent or guardian.

You may use the Service only if you can form a binding contract with us and are not barred from doing so under applicable law.

2. What these Terms cover

Egocentric includes a desktop application (and related mobile applications where available), optional web properties at egocentric.me, and services needed to operate accounts, authentication, downloads, and purchases.

Part A (Software) applies to the Egocentric application. Part B (Account & web services) applies to your Egocentric account and our websites. Part C (Purchases) explains how buying works across Lemon Squeezy and app stores.

If you obtain Egocentric through Apple App Store, Google Play, or Microsoft Store, your use is also subject to that store's terms. Where those terms conflict with Part C for that purchase, the store's terms control for the store transaction.

3. Part A — Software license

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Egocentric application on devices you own or control, for lawful personal productivity, subject to these Terms and any applicable store rules.

You may not copy, modify, distribute, sell, lease, sublicense, or reverse engineer the application except where applicable law expressly permits such restrictions to be waived.

You may not use the Service to develop a competing product, probe or circumvent security measures, abuse rate limits, or access the Service through unauthorized automated means.

The application and all related intellectual property remain ours or our licensors'. These Terms do not grant you any rights to our trademarks or branding.

4. Part B — Account and sign-in

Sign-in to an Egocentric account is required to use the Service.

You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account until you secure it or notify us of unauthorized use at [email protected].

We may refuse registration, reclaim usernames, or suspend accounts if we reasonably believe there is abuse, impersonation, fraud, or a violation of these Terms.

You may delete your account through account settings or by contacting us. Deleting your account does not automatically delete local data on your devices; see our Privacy Policy.

5. Local-first data

Egocentric is designed so that most hub content (such as tasks, notes, calendar items, and email signals shown in the app) is stored locally on your device in a local database.

We do not upload that local hub database to our servers. You are responsible for backing up your device and local data.

Removing the application or its local profile data permanently deletes that local content unless you have made your own backup.

6. Connected third-party services

The Service may connect to third-party services (such as Google, Microsoft, Atlassian, or Apple) only when you explicitly enable them.

Those providers have their own terms and privacy policies. You must comply with them. We are not responsible for third-party availability, accuracy, or actions beyond what applicable law requires.

When you connect a provider, OAuth credentials may pass through our servers briefly during sign-in so the desktop application can complete authentication. Ongoing provider tokens are stored on your device. See our Privacy Policy for details.

You must not use integrations to access data you are not authorized to access or to violate any provider's terms.

7. Artificial intelligence features

Certain features let you connect your own API keys for AI providers (such as OpenAI or Anthropic). When enabled, your content is sent directly from your device to the provider you chose, not through our servers for inference.

Egocentric AI (our managed AI option) requires a Full license to enable in the app. Model inference through Egocentric AI is billed separately based on your selected plan and usage — it is not included in the one-time Full license fee.

AI output may be inaccurate, incomplete, or inappropriate. It is not professional, legal, medical, or financial advice. You are solely responsible for reviewing AI output before relying on it.

Your use of third-party AI providers is governed by their terms and policies. We do not train external AI models on your private hub content.

If you enable MCP or other local integrations that expose data to external assistants, you are responsible for configuring and trusting those tools.

8. Part C — Purchases and licenses

Egocentric offers a Forever Free tier for local hub use (notes, tasks, orbit, and related features on your device), a 60-day trial with full capabilities, and paid Full ($59 one-time) for sync, connectors, AI access (the ability to enable Egocentric AI in the app), and related cloud features.

Full includes 24 months of app updates from purchase. An optional Update Pass (~$14) adds 24 more months of app updates for Free or Full accounts. Sync and AI access entitlements from Full do not expire when the update window ends. Egocentric AI usage charges are separate from the Full license.

Prices, currency, and taxes are shown at checkout or on the applicable store listing.

Lemon Squeezy: purchases made through our website or Lemon Squeezy checkout are processed by Lemon Squeezy as merchant of record. Their terms and checkout disclosures also apply. Lemon Squeezy may handle VAT and similar taxes where applicable.

A Lemon Squeezy purchase generally unlocks Egocentric on desktop platforms (macOS, Windows, and Linux) linked to your Egocentric account, unless we state otherwise at checkout.

App stores: purchases made through Apple App Store, Google Play, or Microsoft Store are separate transactions governed by that store's terms and refund rules. A purchase on one store does not automatically unlock other stores unless we expressly state a cross-platform entitlement and the store permits it.

Unless required by applicable consumer law, fees are non-refundable. For Lemon Squeezy sales, refunds follow Lemon Squeezy's policies and mandatory consumer rights in your country. For app store sales, request refunds through the store.

We may change prices for future purchases. Price changes do not affect completed purchases except where required by law.

9. Early access and beta

The Service may be labeled beta, early access, or TestFlight. During these periods, features may change, break, or be removed without notice.

Beta software is provided with a higher risk of errors and data loss. Maintain your own backups. We appreciate feedback through in-app feedback and [email protected].

10. Acceptable use

You agree not to misuse the Service, including by uploading unlawful content, infringing intellectual property, harassing others, distributing malware, or attempting unauthorized access to our or others' systems.

You agree not to use the Service in violation of export control, sanctions, or anti-spam laws.

We may investigate violations and cooperate with law enforcement where required.

11. Your content

You retain ownership of content you create or connect through the Service, subject to third-party rights.

Because most content stays on your device, we generally do not need a broad license to your hub content. If you use features that involve our servers, you grant us only the limited rights reasonably necessary to operate those features.

You represent that you have the rights needed for content you connect and that your use does not violate law or others' rights.

12. Privacy

Our Privacy Policy at https://egocentric.me/privacy explains how we handle personal data. By using the Service, you acknowledge that policy.

13. Software updates

The application may automatically download and install updates. Updates may add, modify, or remove features. You agree to receive updates required for security and compatibility where your platform permits automatic updates.

14. Changes to these Terms

We may update these Terms from time to time. The current version is always available at https://egocentric.me/terms with a "Last updated" date.

Non-material changes. We may make non-material changes (for example clarifications, formatting, or updates that do not materially reduce your rights or increase your obligations) by posting the updated Terms on our website. Unless applicable law requires otherwise, such changes take effect on the date posted. We are not required to email you about non-material changes. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

Material changes. If we make a material change (for example changes to fees, refunds, acceptable use, limitation of liability, dispute resolution, or how we process personal data), we will provide reasonable advance notice by a prominent in-app notice, on our website, and/or by email where appropriate. Where required by law or where we deem it necessary, we may ask you to accept the updated Terms before continuing to use the Service.

If you do not agree to updated Terms, you must stop using the Service and may exercise any cancellation or refund rights available under these Terms and applicable law.

15. Suspension and termination

You may stop using the Service at any time.

We may suspend or terminate your access if we reasonably believe you violated these Terms, pose a security risk, or if we must do so to comply with law. Where feasible, we will give reasonable notice.

We may discontinue the Service or features with reasonable notice where practicable.

Sections that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) survive termination.

16. Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected within a particular time.

Nothing in these Terms excludes warranties that cannot be excluded under applicable law.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 50.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

These limitations apply whether liability is based on contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence where such limitation is prohibited.

18. Indemnification

You agree to defend, indemnify, and hold harmless us from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your content, your violation of these Terms, or your violation of third-party rights or law, except to the extent caused by our intentional misconduct or negligence where indemnification is not permitted by law.

We will provide reasonable notice of a claim and cooperate with your defense at your expense.

19. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules.

If you are a consumer residing in the European Union, you also benefit from mandatory protections of the laws of your country of residence where they apply.

Disputes shall be submitted to the competent courts in the Netherlands, except that either party may seek injunctive relief in any court of competent jurisdiction. Consumers in the EU may also bring proceedings in the courts of their country of residence where EU law allows.

20. General

These Terms, together with the Privacy Policy and any store-specific terms for your purchase, are the entire agreement between you and us regarding the Service.

If any provision is unenforceable, the remaining provisions remain in effect and an enforceable term reflecting our intent will replace it where possible.

Our failure to enforce a provision is not a waiver of our right to do so later.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
